Agreement Clauses
Fixed-Fee Price Promise

All monthly client agreements are fixed in writing. Zero surprise charges or invoice bill-shocks.

1. Standard Letter of Engagement

1.1. Upon onboarding, each client enters into a formal Letter of Engagement with UK Accounting Solution Limited (Company No. 09118959). These general terms form an inseparable part of that agreement.

1.2. The exact statutory deliverables, including annual accounts preparation, Corporation Tax (CT600), VAT returns, and payroll, will be set out explicitly in your individualized engagement schedule.

2. Client Responsibilities & Financial Records

2.1. The client remains legally responsible under the Companies Act 2006 for the accuracy and completeness of accounting records, balance sheets, and tax returns submitted on their behalf.

2.2. To enable us to meet statutory HMRC deadlines, the client undertakes to provide all requested bank statements, sales logs, expense invoices, and payroll variables no later than 30 days before statutory filing due dates.

2.3. UK Accounting Solution Limited accepts no liability for statutory late-filing fines imposed by HMRC or Companies House where documents were submitted late or incomplete by the client.

3. Anti-Money Laundering (AML) Compliance

3.1. Under the Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017, we are legally mandated to verify the identity of all clients, ultimate beneficial owners (UBO), and Persons with Significant Control (PSC).

3.2. We utilize electronic identity verification platforms. We may request photographic government ID (Passport or UK Driving License) and verified proof of address (utility bill or bank statement under 3 months old).

3.3. Under UK law, we are legally required to report suspicious activity to the National Crime Agency (NCA) without informing the client (anti-tipping-off provisions).

4. Fixed-Fee Price Promise & Billing

4.1. Monthly accounting subscriptions are payable in advance on the 1st of each calendar month via Direct Debit or standing order.

4.2. Standalone or ad-hoc services (such as company formation or specialized R&D tax credit claims) are invoiced on agreed milestones with a 14-day settlement term.

4.3. Any work outside the agreed scope will be quoted in advance in writing. No additional fee will ever be charged without the client's prior written confirmation.

5. HMRC Agent Authorization (Form 64-8)

5.1. By engaging UK Accounting Solution Limited, you authorize us to register as your professional tax agent with HM Revenue & Customs for Corporation Tax, VAT, PAYE, and Self Assessment.

5.2. This authorization allows us to correspond directly with HMRC officers on your behalf, query tax codes, dispute assessments, and receive HMRC tax notices.

6. Limitation of Liability

6.1. We maintain comprehensive Professional Indemnity Insurance in accordance with applicable legal and professional requirements.

6.2. Our total aggregate liability to the client in respect of any claim arising out of or in connection with our services (whether in contract, tort, negligence, or otherwise) shall be limited to the total fees paid by the client to us in the preceding 12 calendar months, or the limit of our professional indemnity coverage, whichever is lower.

6.3. Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence.

7. Electronic Records & Cloud Portals

7.1. We supply access to cloud accounting environments (e.g. Xero, QuickBooks). Client software subscription access continues for the active term of the client engagement.

7.2. All working papers, proprietary tax models, and internal calculation spreadsheets prepared by us remain the professional intellectual property of UK Accounting Solution Limited. All statutory accounts and submitted tax returns belong exclusively to the client.

8. Disengagement & Professional Clearance

8.1. Either party may terminate the engagement by giving thirty (30) calendar days written notice.

8.2. In the event of disengagement, we will cooperate fully with the incoming professional accountant. We will promptly issue standard professional clearance, provide opening trial balances, and ensure an orderly transfer of statutory records with zero friction.
